Terms of Service
These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, “your”, or “User”) and Vizlook (“Vizlook”, “we”, “our”, or “us”). These Terms govern your access to and use of our websites and applications (collectively, the “Services”).
By accessing or using Vizlook, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Description of Services
Vizlook provides an AI-powered image generation platform that allows you to create images from smart styles, prompts, and uploaded materials. We utilize advanced AI models, including Google’s Nano Banana model and GPT Image 2 model, to power these generations.
2. Eligibility and Account
2.1 Age Requirement: You must be at least 18 years old to use the Services. By creating an account or using Vizlook, you represent and warrant that you meet this requirement. If you are under 18, you may not access or use the Services.
2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. All activities under your account are your responsibility. Notify us immediately of any unauthorized access.
3. User Content and AI Generations
3.1 Input: You may provide text prompts and upload images (“Input”) to the Services. You retain all ownership rights in your Input, but you represent and warrant that you have all rights, licenses, permissions, and consents necessary to use and provide such Input to us and to authorize our processing of it in connection with the Services.
If your Input includes any identifiable person, you further represent and warrant that you have obtained all permissions, releases, and consents required by applicable law to upload, process, edit, generate, use, and, where applicable, commercially use that person's likeness, image, voice, name, persona, and other personal attributes. This includes any consents required under applicable privacy, publicity, data protection, or biometric data laws.
3.2 Output: Based on your Input, the Services generate images (“Output”).
- Ownership and Commercial Use:
- Vizlook Claim: As between you and Vizlook, Vizlook does not claim copyright ownership in your Output.
- Commercial Use: You may use your Output for commercial purposes, regardless of whether it was generated on a free tier, trial, paid subscription, or using purchased credits, provided you comply with these Terms.
- Similarity: Due to the nature of machine learning, Output may not be unique across users. Other users may provide similar Input and receive the same or similar Output.
- Accuracy: AI-generated content can be inaccurate, biased, or unexpected. You are responsible for reviewing and validating Output before any use.
3.3 License to Vizlook: You grant Vizlook a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your Input and Output solely as necessary to provide, maintain, and improve the Services.
4. Acceptable Use and Restrictions
You agree not to use Vizlook to:
- Generate or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Generate, request, upload, or share NSFW content, including sexual acts, or sexual exploitation.
- Create, request, upload, or share any content that depicts or sexualizes minors, or any form of child sexual abuse material.
- Infringe upon the intellectual property or privacy rights of any third party.
- Upload "Sensitive Personal Information" (e.g., government IDs, health data, or biometric identifiers), except to the limited extent inherently contained in an image you intentionally submit for generation or editing and only if you have obtained all rights and consents required by applicable law.
- Attempt to reverse engineer, decompile, or extract the source code or underlying models of the Services.
- Use the Services to build a competing product or service.
- Use automated systems (bots, scrapers) to access the Services without our written consent.
- Attempt to bypass, disable, or evade any safety systems, filters, or content moderation controls.
- Promote, distribute, or market content generated in violation of these Terms, including any representation that the Services allow “uncensored” or NSFW generation.
4.1 Content Moderation: We use automated and, where appropriate, human review to detect and prevent prohibited content. We may refuse to generate, remove, or restrict access to any Input or Output that violates these Terms.
4.2 Enforcement and Reporting: We may test content for compliance and take enforcement actions, including warnings, account suspensions, or termination. You are responsible for the content you generate or share using the Services, even if generated through third-party models. We may report suspected illegal content to relevant authorities.
4.3 Intellectual Property Complaints: If you believe any content made available through the Services infringes your copyright, trademark, or other intellectual property rights, you may contact us at support@vizlook.com with sufficient detail for us to investigate, including your contact information, a description of the allegedly infringed work, the location of the allegedly infringing content, and a statement of your good-faith belief that the use is unauthorized.
4.4 Repeat Infringers: We reserve the right to remove allegedly infringing content, disable access to the relevant Output, and suspend or terminate accounts of repeat infringers or users who repeatedly violate the intellectual property rights of others.
5. Fees and Credits
5.1 Paid Features: Access to certain features or generation volumes may require the purchase of credits, a subscription, or both. By purchasing any paid feature, you authorize Vizlook and our payment processors to charge the applicable fees, taxes, and any other disclosed amounts using your selected payment method.
5.2 Subscriptions and Auto-Renewal: Unless otherwise stated at the time of purchase, subscriptions automatically renew for successive billing periods until canceled. You authorize us to charge the then-current subscription fee and applicable taxes at each renewal. You may cancel at any time, but unless required by law, cancellations take effect at the end of the current billing period and do not entitle you to a refund for unused time.
5.3 Credits: Credits are a limited, revocable, non-transferable, non-refundable license to access eligible paid features of the Services. Credits have no cash value, are not personal property, and may not be resold, transferred, or redeemed for money, except where required by law. Different types of credits, including subscription credits, purchased credits, trial credits, or promotional credits, may be subject to different eligibility, usage, and expiration rules disclosed at the time of purchase, offer, or in your plan details. Unless otherwise stated, subscription credits expire at the end of the applicable billing cycle.
5.4 Failed Payments, Chargebacks, and Fraud: If a payment is declined, reversed, refunded, charged back, or reasonably suspected to be fraudulent, we may suspend or terminate your access to paid features, cancel or reverse associated credits, and recover related costs to the extent permitted by law.
5.5 Pricing Changes and Refunds: All fees are non-refundable except as required by law or as expressly stated by us in writing. We reserve the right to change our pricing, credit terms, or plan features at any time with reasonable notice. Pricing changes will apply prospectively unless otherwise stated.
6. Disclaimers and Limitation of Liability
6.1 "As Is" Basis: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICES OR THE OUTPUT.
6.2 AI Limitations: VIZLOOK IS NOT LIABLE FOR ANY ERRORS OR OMISSIONS IN ANY OUTPUT, OR FOR ANY LOSS OR DAMAGE CAUSED BY YOUR RELIANCE ON AI-GENERATED CONTENT.
6.3 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, VIZLOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST THREE MONTHS.
6.4 Third-Party Providers: The Services may depend on third-party hosting, payment, moderation, model, and other providers. We do not control and are not responsible for third-party services, models, outages, policy changes, delays, refusals to process requests, or other events outside our reasonable control. We may add, remove, substitute, or modify third-party providers and underlying models at any time, and your use of certain features may be subject to additional third-party terms, restrictions, or technical limitations.
7. Indemnification
7.1 Your Indemnity Obligations: You agree to defend, indemnify, and hold harmless Vizlook, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any third-party claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your Input, Output, or other content you submit, generate, use, or share through the Services; (c) your breach of these Terms; (d) your violation of applicable law; or (e) any allegation that your Input, Output, or use of the Services infringes, misappropriates, or otherwise violates any intellectual property, privacy, publicity, contractual, or other rights of any person or entity.
7.2 Procedure and Control: Vizlook will provide you with reasonably prompt notice of any claim subject to indemnification, provided that any delay in notice will not relieve you of your obligations except to the extent you are materially prejudiced. Vizlook may assume exclusive control of the defense and settlement of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. You may not settle any claim that imposes liability, admissions, or obligations on Vizlook without our prior written consent.
8. Governing Law and Dispute Resolution
8.1 Governing Law: These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be governed by the laws of the jurisdiction in which Vizlook is established, without regard to conflict of laws principles, except that the Federal Arbitration Act, where applicable, governs the interpretation and enforcement of Section 8.
8.2 Informal Resolution First: Before filing a claim against Vizlook, you agree to first contact us at support@vizlook.com and attempt to resolve the dispute informally by providing a written notice describing the issue and the relief sought. If we do not resolve the dispute within 30 days after receiving the notice, either party may pursue the dispute as permitted under this Section 8.
8.3 Binding Individual Arbitration: To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved exclusively by final and binding arbitration on an individual basis, except that either party may bring an individual action in small claims court for qualifying claims and Vizlook may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or enforce the Acceptable Use restrictions.
8.4 Arbitration Process: The arbitration will be conducted in English by a neutral arbitrator and, unless applicable law requires otherwise, may be conducted remotely, by submission of documents, or in another location selected by Vizlook. The arbitrator may award the same individual relief available in court, but only to the extent necessary to resolve the individual claim. Judgment on the arbitral award may be entered in any court having jurisdiction.
8.5 Class Action and Jury Trial Waiver: To the fullest extent permitted by law, you and Vizlook waive any right to a jury trial and any right to participate in a class action, class arbitration, mass arbitration, representative action, or other consolidated proceeding. You and Vizlook agree that each may bring claims against the other only in an individual capacity.
8.6 Judicial Forum Fallback: If any dispute is found by a court or arbitrator of competent jurisdiction not to be subject to arbitration, then, to the fullest extent permitted by law, that dispute must be brought exclusively in the courts located in the jurisdiction in which Vizlook is established, and you and Vizlook consent to the personal jurisdiction and venue of those courts.
9. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have breached these Terms or for any other legitimate business reason. You may terminate your account at any time by contacting support.
10. Changes to Terms
We may modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
